How much notice is needed for a shareholders meeting?

The Companies Act 2006 requires 14 days notice for general meetings of a private limited company but the company’s articles of association may require a longer period.  Companies formed before 1 October 2007 are likely to have provisions in their articles requiring notice of 21 days where a special resolution is to be proposed at a meeting.  The Act allows shorter notice if agreed by a majority of members entitled to attend and vote who together hold 90% of the shares – articles can raise this to 95%.  Different rules apply to public limited companies.
